PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY.  THEY GOVERN YOUR USE OF THIS WEBSITE (THE "SITE") AND CREATE IMPORTANT LEGALLY BINDING RIGHTS AND OBLIGATIONS.  DO NOT USE THIS SITE UNLESS YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.


1.	CONTRACTING PARTIES

This Site is exclusively operated by Al Arabiya.  These terms and conditions form a legally binding contract between Al Arabiya (or "we" or "us") and you, the person who accesses and/or uses any part of this Site.

2.	BINDING CONTRACT AND CHANGES

2.1	The content and facilities contained in this Site are provided to you on the condition that you agree to be bound by these terms and conditions ("Terms").  By using this Site you agree to be bound by and to comply with these Terms and you agree and accept that they form a legally binding contract with us, from the date upon which you use this Site for the first time.
 
2.2	If you do not wish to be bound by these Terms then you must immediately cease any use of this Site, its content and facilities.

2.3	We may make changes to these Terms from time to time as we think fit in our absolute discretion.  If we decide to change these Terms we will publish the revised version on this Site and include a notification that these Terms have been modified.  It is your responsibility to review all such modified Terms and to satisfy yourself that you are able and willing to be bound by and comply with them.  It is a further condition of your use of the content and facilities provided by this Site that you that you agree to be bound by and to comply with all modified versions of these Terms.  If you do not wish to be bound by any modified versions of these Terms then you must immediately cease any use of this Site, its content and facilities.

By doing that you verify and confirm your acceptance of all of these Terms, including, but not limited to, those relating to the upload service. 2.5	In the event of conflict between these Terms, and the rules and/or special conditions of use included in the Site pertaining to specific material, the latter conditions shall prevail.
3.	OUR RIGHTS AND YOUR USE OF THE SITE
 
3.1	The Site and all facilities, content, information and graphic representations included within the Site, including but not limited to, text, graphics, photos, logos, button icons, images, music, audio and audio visual clips, digital downloads, databases, data compilations, data and software and the names and signs of Al Arabiya ("Content") are owned by or licensed to Al Arabiya or its content suppliers.  All Intellectual Property Rights in the Content are the sole and exclusive property of Al Arabiya or its licensors, MEN FZ-LLC or their content suppliers.  Your rights to use the Content are exhaustively set out in Section 3.2 below and are subject to the other restrictions and limitations set out in these Terms and you acquire no rights in the same whatsoever.
 
3.2	You may view the Content on your computer screen and print the same on your printer for your personal and non-commercial use only.  You warrant that it is legal for you to view the Content in the jurisdiction to which you are subject.  You are responsible for compliance with all laws of that jurisdiction, in viewing or using the Content.

3.3	You agree to use the Site and the facilities offered by the Site for your own private non-commercial purposes only. Except as specifically set out in Section 3.2 above, you may not in any way copy, reproduce, download, store, distribute, broadcast or otherwise transmit any of the Content or in any way edit, translate or modify or commercially use any of the Content or assist, or permit others to do so or agree to do so without obtaining the prior approval or authorization in writing of an authorized officer of Al Arabiya.

3.4	For the purposes of these Terms "Intellectual Property Rights" means all intellectual property rights of any nature whatsoever throughout the world and for the full duration of any and all intellectual property protection afforded to the same including, without limitation, all: patents, registered trade marks, service marks, copyright, designs and any and all applications for registration of any of the same wherever made; and all unregistered trade marks, service marks, designs, design right and copyright; and databases, know how, trade secrets and confidential information howsoever arising; and computer software and any right or interest in any of the foregoing.

4.	SITES/ LINKS OF OTHERS
 
4.1	Al Arabiya is not responsible for the availability or contents of the web sites of third parties or the materials of third parties (each being referred to in these Terms as "Third Party Sites") that can be accessed through this Site.  If you decide to visit any Third Party Site through the links in this Site you do so entirely at your own risk and you bear full responsibility for taking all protective action against viruses and other damage causing elements to which you may gain access.  Al Arabiya does not approve or take responsibility for any of the contents, facilities, products or services existing or available through Third Party Sites whatsoever. Al Arabiya accepts no responsibility for any damage or loss resulting directly or indirectly from, or relating to any Third Party Sites to which you gain access, whether through the Site or otherwise.  Any terms and conditions or other provisions, guarantees, or warranties contained in or relating to such Third Party Sites shall be between you and the party concerned for provision of such Third Party Site and Al Arabiya shall have no obligation or liability in respect of the same.
 
4.2	The fact that any link to any Third Party Sites appears in the Site does not in any way imply any approval of that Third Party Site or any connection between the Site or Al Arabiya and such Third Party Site and Al Arabiya does not claim any ownership over or interest in or license of any trademark, commercial name or emblem that appears on or may be arrived at through the third party links to Third Party Sites.  

4.3	Any links that Al Arabiya has permitted to be used to access this Site must direct the user to entire pages of complete content (not part of any page). Al Arabiya has not permitted and does not give permit any content of this Site or any other of its websites to be incorporated within or viewed as part of the pages of other sites. Al Arabiya accepts no responsibility for any liability arising out of the use of links that access content from this Site.

5.	GENERAL DISCLAIMER
 
5.1	To the fullest extent permissible by applicable law this Site and its Content and any products, or services referred to or made available within this Site, are made available “as is” without any representation, undertaking, approval or warranty of any kind, including but not limited to any implied warranties of quality or suitability for a specific purpose.
 
5.2	The Content included in the Site may include incorrect information factual or typographical errors. Al Arabiya does not guarantee the accuracy, completeness or credibility of any Content in or accessible from this Site (including but not limited to, any content submitted by users of this Site).  You accept full responsibility for verifying the accuracy, completeness and credibility of all such Content. 

5.3	Al Arabiya has the right in its absolute discretion to correct any errors or omissions, in any part of the Site and to introduce at any time and without notice changes on the Site, and to the Content and to products, services or prices mentioned in the Site. 

5.4	To the fullest extent permissible by applicable law Al Arabiya disclaims all liability for any damages whatsoever, including but not limited to, any direct loss or damage and any indirect loss, including but not limited to loss of profits, business, anticipated savings or loss of reputation or any destruction of data, resulting from or connected with the use of the Site. 

5.5	Al Arabiya does not guarantee that the functions of the Site will operate uninterrupted or be free from errors or that defects will be corrected or that this Site or the server through which entry to the site takes place is free from viruses or harmful software. 

5.6	Al Arabiya may, at any time and without notice or liability, terminate, change, suspend or discontinue publishing any contents of the Site. 

6.	PRODUCTS OF AL ARABIYA

Any products and/or services in this Site are offered subject to availability, and are made available by this Site at the absolute discretion of Al Arabiya. Also, all offers for the supply of products or services are directed only to the geographic regions for which the advertisement corresponding to the product or services is directed.  Unless otherwise specifically stated, the promotional shows, and competitions contained in this Site are only available for participation by those who are 18 years old or more.  To participate, those below 18 must obtain the approval of their parent or legal guardian.   Al promotions and competitions are entered into by you on the basis that you do so at your own risk.  Al Arabiya shall have no liability in respect of your participation.  Any decision made shall be at the absolute discretion of Al Arabiya and shall be absolute and binding on all participants.  You agree to be bound by any terms of any promotion or competition. 

7.	USER SUPPLIED CONTENT
 
The following terms and conditions shall govern the contribution of user supplied content to the Site:

7.1	User Content: All content that you provide to Al Arabiya whether using the Software or otherwise and including but not limited to any and all text, graphics, photos, images, music, audio and audio visual material, software and all information accompanying the same or provided by you in connection with the same, including but not limited to any and all metadata and hypertext links, is referred to in these terms and conditions as "User Content".
 
7.2	User Content - MBC Rights:  By uploading, sending or otherwise making available your User Content to Al Arabiya, you are authorizing Al Arabiya to, and granting Al Arabiya a royalty-free, non-exclusive right and license to, exploit the User Content in order to:

7.2.1	host the User Content on Al Arabiya’s servers;

7.2.2	index the User Content; 

7.2.3	display, perform, distribute the User Content and communicate the User Content to the public, in whole or in part throughout the world

in connection with the Service and with other Al Arabiya products and services now existing or hereafter developed, including without limitation for syndication on third party sites.  Furthermore, Al Arabiya is granted the right to display your User Content via streaming and/or downloading technologies, and to display limited excerpts of your User Content for no fee to Al Arabiya's end users.  Al Arabiya may incorporate links in and around your User Content and Al Arabiya reserves the right to display advertisements within, around or in connection with any display of your User Content.   For this purposes of this Section 7.2 the term "Exploit" means: host, cache, route, transmit, store, copy, modify, distribute, communicate to the public, perform, display, reformat, excerpt, facilitate the sale or lend copies of.

7.3	No Obligation: Al Arabiya is not required to exploit any User Content uploaded or otherwise provided to Al Arabiya, and may remove your User Content and/or refuse to undertake any act comprised within the definition of the term Exploit in relation to your User Content in its absolute discretion. Al Arabiya is not responsible for any loss, theft, Intellectual Property Rights infringement or damage of any kind to the User Content.

7.4	User Content - Restrictions:  You take sole responsibility for the User Content that you provide to Al Arabiya.  You must ensure that User Content provided by you does not offend any religious, cultural or political sensitivities in the Arabic Region.  Al Arabiya shall have the absolute discretion to edit or modify any User Content, remove any User Content or refuse to use any User Content In particular, but without limiting the foregoing you will not provide Al Arabiya with any User Content, nor otherwise use the Software to transmit content that:

7.4.1	involves, promotes, enables or facilitates illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
 
7.4.2	contains pornographic images or nudity or offends against general morals and decency.

7.4.3	harasses or promotes or enables harassment of another person; 

7.4.4	comprises or promotes information that you know to be false or misleading;

7.4.5	is offensive or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual; 

7.4.6	which infringes any rights including the Intellectual Property Rights of any third party (such as but not limited to images of well known characters, pictures, music and commercial recordings) or which results in the disclosure of personal information of a third party or the confidential information of any person; 

7.4.7	involves, promotes, enables or facilitates the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming"; 

7.4.8	comprises, promotes, enables or facilitates an illegal or unauthorized copy of another person's copyrighted work, such as, but not limited to, providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files; 

7.4.9	contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page); 

7.4.10	comprises, promotes, enables or facilitates access to instructional information about illegal activities such as, but not limited to, making or buying illegal weapons, breaching someone's privacy, or providing or creating computer viruses; 

7.4.11	solicits passwords or personal identifying information for commercial or unlawful purposes from other users; or 

7.4.12	involves, promotes, enables or facilitates commercial activities and/or sales without Al Arabiya's prior written consent such as auctions, contests, sweepstakes, barters, advertising, or pyramid schemes.

7.5	User Content - Rights: You acknowledge that you are solely responsible for ensuring that you hold all of the rights that you need to have in order to transmit the User Content to Al Arabiya and the licenses that are described in Section 7.2 above. By providing your User Content to Al Arabiya, you represent and warrant to Al Arabiya that: 

7.5.1	you are at least 18 years of age; 
 
7.5.2	all of the information provided by you to Al Arabiya is correct and current;

7.5.3	you hold and will continue to hold the necessary rights, including but not limited to all Intellectual Property Rights that you require in order to provide the User Content to Al Arabiya and to grant the rights granted in these Terms; and

7.5.4	you have the legal right and authority to enter into the agreement reflected in these terms and conditions, to perform the acts required of you under that Agreement, and to grant the rights and licenses described in these terms and conditions.

7.6	Further Representations:  You further represent and warrant that the User Content and the rights and licenses granted to Al Arabiya under these terms and conditions (including the public display, public performance, communication to the public, distribution and reproduction of your User Content by Al Arabiya) do not:

7.6.1	and will not violate any applicable law, statute or regulation; and
 
7.6.2	breach and will not breach any duty toward or rights of any person or entity including, without limitation, Intellectual Property Rights, publicity or privacy, or rights or duties under consumer protection, product liability, tort or contract theories.

7.7	Software: From time to time Al Arabiya may make available software to allow you to upload content to the Site ("Software").  The Software is owned by or licensed to Al Arabiya or its software suppliers.  All Intellectual Property Rights in the Software are the sole and exclusive property of Al Arabiya or such suppliers.  Your rights to use the Software are exhaustively set out in Section 7.1.1 below subject to the restrictions set out in Section 7.1.2 below and elsewhere in these Terms and you acquire no other rights in the same whatsoever:
 
7.7.1	You may use the Software for the purpose of transmitting your User Content to Al Arabiya for use by Al Arabiya as a part of the Site and otherwise in accordance with the license set out below.  You may use the Software only in accordance with the instructions applicable to it (which we will provide to you on or through this Site).
 
7.7.2	You may not use the Software for any reason other than that set out in Section 7.1.1.  In particular, but without limiting the foregoing, you may not:

a.	use the Software to transmit any content other than the User Content to Al Arabiya;
b.	use the Software to transmit the User Content to anyone other than Al Arabiya;
c.	sell otherwise distribute any part of the Software;
d.	modify, adapt, translate or reverse engineer any part of the Software;
e.	attempt to breach any security mechanisms or to access, tamper with or use any unauthorized parts of the Software;
f.	transmit any Unacceptable Material to or via the Software;
g.	use the Software for any illegal, unlawful, harassing, abusive or fraudulent purpose;
h.	use the Software for any commercial purpose.

7.8	Responsibility and Indemnity: You acknowledge and accept that Al Arabiya has the right to monitor and to moderate your User Content provided to Al Arabiya and that Al Arabiya has the right to remove, edit and suspend any User Content that it considers in its absolute discretion to be inappropriate and in appropriate cases to provide copies of your User Content to the police and to any other law enforcement body.  You also accept however, that Al Arabiya has no obligation to monitor or moderate any of your User Content and its right to do so should not in any respect be regarded as a substitute for your obligations under these Terms.
 
7.9	Indemnity:  You agree to indemnify, defend and hold Al Arabiya and Al Arabiya's directors, officers, licensors, licensees and consultants ("Indemnified Parties") harmless from and against any and all Liabilities that may arise directly or indirectly out of your User Content, your use of the Software and/or the Site or Al Arabiya's use of your User Content as envisaged under these Terms including in exercising its rights under Section 7.2 above.  For the purpose of Section "Liabilities" means all costs and expenses, losses, damages and adverse effects resulting from any and all allegations, claims, judgments, causes of action, liabilities, obligations, damages, deficiencies, penalties, interest and expenses (including the reasonable fees and expenses of solicitors and other professionals and specialists).

7.10	Privacy and Data Protection:  You agree that Al Arabiya may use the personal information about you ("Personal Information") that you provide to Al Arabiya. You also agree that Al Arabiya may transfer and disclose your Personal Information to third parties to enable and facilitate your use of the Site and Software.  Any information or data sent to, or entered into the Site (including pictures, videos, sound files, and provisions documented and other materials of any kind) shall not be treated as confidential, and its absolute property reverts to Al Arabiya. This information may be used by Al Arabiya for any purpose, including, but not limited to, their reproduction, disclosure to others, broadcast, transmission, editing, cutting, reforming, and setting in a new form, and placing, in the site and otherwise disposing thereof at the absolute discretion of Al Arabiya. Therefore, you assign to Al Arabiya (pursuant to a permanent assignment of all current and future copyrights) all rights, of any nature, to these materials throughout the world, including any renewal or thereto or other copying thereof.

8.	THE LAW AND JUDICIAL COMPETENCE

8.1	These Terms shall be subject to, and be interpreted in accordance with the laws in force in the United Arab Emirates. Disputes arising from these Terms are exclusively subject to the competence of the UAE courts. Any basis for a judicial action arising out of your use of this Site must be raised with one year from the date of existence of the cause of judicial action.
 
8.2	If it appears that any of these Terms are illegal, or are invalid or non- executable because of the law of any state where the application of these Terms is intended, the term or condition violating the law or unenforceable, shall be deleted to the extent of such violation or unenforceable.  The other terms and conditions shall remain and be binding and enforceable.

8.3	Al Arabiya does not make any warranty or representation that the material included in this Site are suitable for use in other places outside the UAE. When viewing this site from outside the UAE, you bear the responsibility under local laws.
